Introduction
​
At Raw Electrical & Data Pty Ltd, we are committed to delivering high-quality electrical and automation solutions delivered with professionalism, transparency, and compliance.

These Terms of Trade outline the basis on which we provide services to residential and commercial clients.

1. Application of These Terms
​
These Terms apply to all quotations, services, labour, materials, and equipment supplied by Raw Electrical & Data Pty Ltd.
​
By accepting a quotation, instructing works to commence, or permitting access to site, the Client agrees to be bound by these Terms.
Raw Electrical & Data Pty Ltd reserves the right to amend or update these Terms from time to time. The Terms in effect at the date of quotation acceptance will apply to that project.

2. Acceptance of Quotations

A quotation is deemed accepted when the Client:
​

Clicks “Accept” via electronic quotation software (including Xero or similar platforms);

Signs and returns the quotation;

Provides written confirmation (including email approval); or
-
Instructs works to commence.​
Electronic acceptance constitutes a legally binding agreement.
​
Upon acceptance, the Client agrees to:

The Scope of Works;
-
The quoted pricing;
-
The stated Payment Terms;
-
These Terms of Trade.​
No works will be scheduled or materials ordered until the quotation has been formally accepted.
​
3. Quotations
​
Quotations are valid for 14 days unless otherwise stated.
​
This quotation includes only the works specifically listed in the Scope of Works.
​
Raw Electrical & Data Pty Ltd reserves the right to amend pricing where supplier or material costs increase after the quote validity period.
4. Variations
​
Variations may arise due to:
​

Client-requested changes
-
Unforeseen site conditions
-
Hidden or concealed defects
-
Non-compliant existing installations
-
Regulatory requirements​
All variations must be approved in writing prior to commencement.
​
Full payment may be required upfront for variation works before completion.
​
Variations may affect completion timeframes and pricing.
​
5. Payment Terms
​
Payment terms are as stated on the quotation or invoice.
​
Unless otherwise agreed in writing, payment is due within 10 business days.
​
Raw Electrical & Data Pty Ltd may issue progress claims at appropriate stages of the works.
​
Development & Staged Projects
​
For development, new build, renovation, or staged projects, Raw Electrical & Data Pty Ltd may issue progress claims at appropriate stages of the works.
​
Typical stages may include (but are not limited to):
​

Deposit
-
Rough-In
-
Cut-Out
-
Fit-Off
-
Switchboard Connection
-
Practical Completion / Handover
Raw Electrical & Data Pty Ltd reserves the right to determine the timing and value of progress claims based on works completed, materials supplied, and project duration.
​
Completion of an electrical stage is determined by Raw Electrical & Data Pty Ltd based on the scope of works undertaken.
Each progress claim is payable upon issue and is not conditional upon completion of works by other trades.
​
Progress claims may also be issued at reasonable intervals where works extend beyond 30 days from commencement.
​
Raw Electrical & Data Pty Ltd may suspend works if a progress payment is not made when due.
​
High-Value & Special Order Items
​
Any single item valued at more than $4,000.00 (ex GST) must be paid 100% upfront prior to ordering.
​
Custom, imported, or special-order items may require full payment upfront regardless of value.
​
Overdue Accounts
​
Late payments may incur interest at 10% per annum (calculated daily).
​
The Client is liable for reasonable recovery, collection, legal, and administrative costs incurred in recovering overdue amounts.
Raw Electrical & Data Pty Ltd reserves the right to charge interest, administration fees, or recovery costs without further notice where accounts fall outside agreed terms.

6. Builder Deductions & Credits
Where a Client, builder, or contractor requests removal or deduction of items from an accepted quotation:
​

Credits will be issued only for the direct material cost of the removed item.

Labour, programming, procurement time, overhead allocation, and margin associated with that item are not fully refundable.

A maximum credit of 70% of the quoted line item value may be issued unless otherwise agreed in writing.
-
No credit will be issued where materials have been ordered, installed, or allocated.
7. Long-Term Projects & Material Price Increases

For projects extending beyond 30 days from quotation acceptance:

Pricing is based on supplier rates available at the time of quotation.
​
If material, equipment, or supplier costs increase beyond the Contractor’s control, Raw Electrical & Data Pty Ltd reserves the right to adjust pricing to reflect actual cost increases.
​
Reasonable evidence of supplier increases will be provided upon request.
​
This clause does not apply where materials have already been paid for in full.
​
8. Security of Payment (VIC)
Raw Electrical & Data Pty Ltd may issue payment claims under the Building and Construction Industry Security of Payment Act 2002 (VIC).
Where a payment claim is issued:

Payment must be made within the timeframe prescribed by the Act or the contract.
-
The Client may issue a Payment Schedule in accordance with the Act.
9. Domestic Building Contracts (Residential Works)
​
Where works fall within the Domestic Building Contracts Act 1995 (VIC), Raw Electrical & Data Pty Ltd will comply with its statutory obligations.
10. Retention & Withholding of Payment
Unless expressly agreed in writing prior to commencement, Raw Electrical & Data Pty Ltd does not accept retention sums.
No portion of any invoice or progress claim may be withheld as security or retention without prior written agreement.

Any agreed retention must be clearly documented in writing and specify the amount and release conditions.
11. Builder Back-Charges & Set-Off
Raw Electrical & Data Pty Ltd must be provided written notice of any alleged defect, delay, or issue prior to any deduction being made.
The Contractor must be given reasonable opportunity to inspect and rectify the issue.
No back-charge, contra charge, or deduction will be recognised unless agreed in writing by Raw Electrical & Data Pty Ltd.
Invoices and progress claims remain payable in accordance with agreed terms.
12. Cancellation Policy
Cancellations must be made in writing.
If cancellation occurs:
-
Before materials are ordered — reasonable administration fees may apply.
-
After materials are ordered — full material cost and restocking fees apply.
-
After works commence — labour, materials, and demobilisation costs apply.
Deposits are non-refundable where materials have been ordered or labour allocated.
13. Warranty
Raw Electrical & Data Pty Ltd provides a 12-month warranty on parts and labour from completion.
Manufacturer warranties apply in addition.
Warranty includes one (1) defect call-back free of charge within the warranty period.
Additional call-outs for non-warranty issues or no fault found will incur a $200.00 (ex GST) call-out fee.
Nothing excludes rights under Australian Consumer Law.
14. Automation & Programming
Automation systems are programmed to agreed specifications at commissioning.
Post-commissioning changes may incur additional charges.
Raw Electrical & Data Pty Ltd is not responsible for third-party software updates, internet outages, router changes, or compatibility issues beyond its control.
15. Limitation of Liability
To the extent permitted by law, liability is limited to the value of the works supplied unless otherwise required by law.
Raw Electrical & Data Pty Ltd is not liable for indirect or consequential loss.
16. Force Majeure
Raw Electrical & Data Pty Ltd is not liable for delays caused by events beyond reasonable control, including supply shortages, trade delays, regulatory changes, or extreme weather.
17. Governing Law
These Terms are governed by the laws of Victoria, Australia.
